Below is VNNA’s guidance on the necessary procedures to carry out the procedure to change the business name.

I. Tasks to be done

– Procedure to change the legal seal;
– Re-issue the signboard at the company headquarters;
– Send an official dispatch to the tax authority regarding the change on the company invoice;
– Carry out procedures related to the units: Banks, insurance;
– Carry out procedures to change the name of the subsidiary licenses the company owns: International travel business license, domestic travel/ Trademark protection certificate ….
– Amend the company charter;
– Send the official dispatch to change the company name to partners.

II. Notes when changing the company name

– The new name of the enterprise must not be the same or confusing with another registered enterprise.
– If the company converts its business type, it will basically retain the old name.
– Enterprises changing their name need to pay attention to the signs of identifying the enterprise brand such as: registering trademarks, domain names suitable for the changed company name.
– Changing the company name will entail many other procedures such as seals, digital signatures, signs, invoices, business eligibility certificates, property ownership certificates, etc., so enterprises need to carefully consider changing the name.

III. Documents for changing the company name

– Notification of change of company name is made according to the Notice of change of business registration content signed by the legal representative of the enterprise according to the form in Appendix II-1;
– Minutes of the General Meeting of Shareholders for a joint stock company or Minutes of the Board of Members’ Meeting for a LLC with two or more members on changing the company name.

– Decision of the General Meeting of Shareholders for a joint stock company or the Board of Members for a LLC with two or more members, the owner for a single-member company on changing the company name.

– Company charter according to the new company name information (saved).
